We recommend the development of a website built on a WordPress platform, with customized design elements. A strong emphasis will be placed on attracting new clients through basic Search Engine Optimization (SEO) and submission to Google, Bing, and other popular search engines.

This site will include general and informational pages that represent the company and invites action from the visitor.

Fee Summary

The fee summary in this website proposal agreement is based on work performed on a fixed-cost basis. Should the scope of the project change after acceptance of terms and pricing, we will provide a detailed scope change to define additional work and associated costs.

Customized Website Solution

Web Design Intake Form – In order to get your website project started, we’ll need as much information as you can offer. You will be asked to complete a Website Design Intake Form in order to gather pertinent information about the business. Your website project will not begin without this form, so please complete and send as soon as it is received.

Website Mockup, Starts with the template design selected & ADD Content, and Images – For our Level (1) STARTER Plan & Level (2) ECONOMY Plan template styles are provided. For the CUSTOM Solution, we will create 2-3 website mockup designs from which You can choose. You will be allowed to add or remove elements in the mockup as long as the change is within the scope of the project. At this point, we will need the content for each page of your site as well as the appropriate images (if any).

Website Project Begins – We will begin to develop your site. If you have not submitted all of the content or images, you will be asked to supply these assets before we can complete the website project.

The following is an Agreement between “LEAD Engagements Digital Marketing & Web Services” (Provider) and CLIENT {{clientFullName}} (Client) concerning the authorization and development of the website {{clientWebsite}}

Authorization. The above-named client is engaging LEAD Engagements Web Services, an independent contractor for the specific project of developing and/or improving a World Wide Web site to be installed/maintained on the provider's Web space on an Internet Service Provider's (ISP) or Web Presence Provider’s (WPP) computer.

The client may also authorize LEAD Engagements Web Services to establish a Web hosting account. The client may provide search engine optimization if applicable, the client further authorizes LEAD Engagements Web Services to publicize their completed Web site to Web search engines as determined by the package chosen.

Web Site Package Elements. LEAD Engagements Web Services will develop the website, {{clientWebsite}} as closely as possible to the desires of the client. The Client will be charged if any additional elements outside of those discussed need to be purchased for inclusion into the website project.

Development. This Web design project will be developed using a variety of tools and software.

While LEAD Engagements Web Services will make every effort to design a fully functional Web site, we cannot ensure compatibility with all browsers, text-based browsers or requested special effects that we have advised you against. Ag Washington Web Services represents and warrants to Client that it has the experience and ability to perform the services required by this Agreement; that it will perform said services in a professional, competent, and timely manner;

that it has the power to enter into and perform this Agreement; and that its performance of this Agreement shall not infringe upon or violate the rights of any third party or violate any federal, state, and municipal laws. The client will not determine or exercise control as to general procedures or formats necessary to have these services meet the client's satisfaction.

Domain Name:

Don't have a domain name for your business, we can secure a domain name for you @ our reduced rate of $13.99 or $15.99 per yr. Which includes ID Protection to keep your personal information from spammers PLEASE ADD THE DOMAIN NAME YOU WOULD LIKE HovMedia Marketing TO PURCHASE on your behalf. Client will own the domain name which will be associated with client contact information.REQUESTED

Assignment of Web design project. LEAD Engagements Web Services reserves the right to assign subcontractors to this Web design project to ensure that the terms of this agreement, as well as on-time completion, are met, however no subcontractors are normally utilized.

Maintenance and Hourly Rate. This agreement covers the following Website maintenance beyond website launch:

Services will be charged at a pre-determined rate as per the proposal and acceptance of services. Additional maintenance or revisions will be charged at the rate of $165.00 per hour, exclusive of the 90-day maintenance and support service which is included with the website project package at no charge for up to 2 hours per month. The client authorizes LEAD Engagements Web Services full access to the Web site for updates and maintenance during this period.

Web Hosting. Minimum (1) Year Hosting Plan is Required for your Client’s Website. Beyond the first year, the Client can continue with current hosting with the Provider or have the website migrated to a New Client hosting plan at Client Expense.

Completion Date. The Web site development will be completed within 30 days, unless delayed by the client or by acts beyond Providers control.

Revisions. Client is allowed up to three (3) revisions at no extra cost before client sign- off on website. Revisions cover basic changes and updates not including what can be described as a full website re-design (i.e., more than 15% page design changes) at the discretion of the provider. LEAD Engagements Web Services production team reserves the right to determine what is 15% of page design, these requirements are subject to change. Client will be notified prior to the change…

(SILVER Plan) The ECONOMY PLAN is Up to 10-Pages $1,699 + Hosting $24.95 per month

CUSTOM PLANs Vary + Hosting $39.95 per month (Designs start at $3,750 based on website elements & number of pages)

Payment of Fees. STARTER & ECONOMY Plans will be PAID in full before starting the project. CUSTOM Designs 50% Payment will be made upon signing this agreement. 25% payment will be due after thirty days of the initial payment and the final 25% will be due BEFORE the website is launched.

Monthly payments (if applicable) must be made promptly based on the proposal. Delinquent bills will be assessed a penalty of $30.00. If an amount remains delinquent 30 days after its due date, an additional 12% penalty will be added for each month of delinquency. Provider reserves the right to remove any Web design/project from viewing on the Internet until final payment is made. In case collection proves necessary, the client agrees to pay all fees incurred by that process. This agreement becomes effective only when signed by a representative provider.

Hosting Agreement. All payments for hosting are due by the 3thday of each month. If a payment is not received by the due date, the Client will receive (3) payment reminders.

After the 3rdnotification, your site will be removed from public view until payment has been rendered. If payment is not made within 10 days of the due date, the site will be permanently removed from our servers. If paid before the 10-day waiting period, there will be an account reinstatement fee of $99 for reactivation.

Regardless of the place of signing of this agreement, the client agrees that for purposes of venue, this agreement was entered into in Tacoma, Washington. All payments will be made in U.S. funds.

Hosting Fees. Client hosting fee covers secure HTTPS website setup, website backup, minor page edits, secure forms, plugin updates, website reporting, and more. Website Hosting & Maintenance Agreement can be found through your Client Portal.

Limits and Liabilities. In no event will LEAD Engagements Web Services be liable to the client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the operation of or inability to operate these Web pages or Web site, even if provider has been advised of the possibility of such damages.

Under no circumstances, including negligence, shall LEAD Engagements Web Services, its officers, agents or anyone else involved in creating, producing or distributing provider be liable for any direct, indirect, incidental, special or consequential damages that result from the use of or inability to use the Web pages or Web site; or that results from mistakes, omissions, interruptions, deletion or loss of files or data, errors, defects, delays in operation, or of performance, whether or not

limited to acts of God, communication failure, theft, destruction or unauthorized access to Client’s records, programs or services. Client maintains sole responsibility for data backups and restoration. If any provision of this agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this agreement and shall not affect the validity and enforceability of any remaining provisions.

Copyrights and Trademarks. The client represents the provider and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Provider Services by the client for inclusion in Web pages are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend provider and its

subcontractors from any claim or suit arising from the use of such elements furnished by the client. (Royalty Free images resources are available from your client portal)

Laws Affecting Electronic Commerce. From time to time governments enact laws and levy taxes and tariffs affecting Internet electronic commerce. The client agrees that the client is solely responsible for complying with such laws, taxes, and tariffs, and will hold harmless, protect, and defend LEAD Engagements Web Services its staff and its subcontractors from any claim, suit, penalty, tax, or tariff arising from the client's exercise of Internet electronic commerce.

Sole Agreement. This Agreement constitutes the sole agreement between LEAD Engagements Web Services and the client regarding this Web site. Any additional work not specified in this agreement must be authorized by a written change order. All prices specified in this agreement will be honored for three (3) months after both Parties sign this agreement. Continued services after that time will require a new agreement, except as noted above.
